Abusix Reseller Addendum (customer-facing)

This Reseller Addendum modifies the Abusix Cloud Services Agreement (the “Agreement“) where Customer procures the Services through an authorized Abusix reseller (“Reseller“). Capitalized terms not defined here have the meaning given in the Agreement. In case of conflict, this Addendum controls over the oneSaaS Standard Terms for the specific matters below.

1. Commercial terms via the Reseller

Where Customer contracts with a Reseller for pricing, invoicing, or payment: (a) the Fees, invoicing, payment, and billing-dispute provisions of the Agreement/Cover Page do not apply between Abusix and Customer; (b) all such commercial terms are governed solely by the agreement between Customer and Reseller; and (c) any refunds or Service Credits payable by Abusix will be provided to the Reseller for pass-through to Customer under the Customer–Reseller agreement.

2. Abusix remains the provider

Notwithstanding the Reseller relationship, Abusix remains the provider of the Services under the Agreement, and the Agreement (including the SLA, Support Services Policy, AUP, Product-Specific Terms, and DPA) governs Customer’s access to and use of the Services.

3. Direct relationship for operational matters

Abusix retains the right to communicate directly with Customer regarding the Services, including on security incidents, vulnerabilities, service continuity, product integrity, compliance, abuse prevention, and technical operations. Such communications do not modify the commercial relationship between Customer and Reseller.

4. Suspension and termination for non-payment

Abusix may suspend or terminate the Services (in accordance with the Agreement) if Customer fails to pay the Reseller and does not cure within fifteen (15) days of written notice.

5. Data protection

The DPA applies between Abusix (as processor) and Customer (as controller) regardless of the Reseller channel. The Reseller-level Data Processing Addendum (Schedule C of the Abusix Reseller Agreement) is maintained consistently with this DPA so a single processing standard applies across direct and reseller channels.

6. Renewals

Abusix will notify the Reseller of renewal and any new pricing before the end of the then-current term to enable the Reseller to inform Customer within a reasonable time. Renewal commercial terms are agreed through the Reseller.
